Campaign Agreement

This Campaign Agreement ("Agreement"), version v1.0, is entered into upon acceptance by the Creator within the Videreo platform.

1. Parties

  1. Brand: Sideroutes
  2. Creator: Creator
  3. Platform: Videreo AG ("Videreo")

2. Campaign Overview

  1. Campaign Name: London: Join a famous Pub Tour with your +1 and offer 30% discount to your followers
  2. Campaign Description: Join the Side Routes crew for an afternoon visiting classic London pubs that are the scene for famous London stories. And bring a friend along too! Plus get a 30% discount you can offer to your followers who want this experience too. That's the best price they'll find anywhere, thanks to YOU!
  3. Campaign Brief deliverables:
  • Create a reel + story about your day out with Side Routes
  • Have a CTA in your reel that gets the follower to comment "London" for more info
  • Send the follower who comments either the link or guide
  • Add both @sideroutetours and @videreo_official as collaborators on the reel
  • Offer your followers your discount code VIDS30 in both reels, stories and captions for 30% off

3. Deliverables

The Creator agrees to produce the following content:

  1. Content must follow brand guidelines (if provided), be original and not infringe third-party rights, and comply with applicable laws and advertising standards.
  2. Content must not include: misleading claims or false representations; offensive, illegal, or unsafe behavior; copyright-infringing materials; or content that violates platform community guidelines.
  3. Content must be newly created for the campaign unless otherwise agreed.

4. Timeline

  1. Start Date: 11 February 2026
  2. End Date: 30 April 2026
  3. Delivery Deadlines: Campaign period: 11 February 2026 to 30 April 2026.
  4. Videreo and the Brand shall not be liable for delays, changes, or cancellations resulting from events beyond their reasonable control, including but not limited to travel disruptions, weather conditions, government restrictions, or third-party operator issues.

5. Compensation

  1. Payment terms: Compensation in the form of products, travel, or experiences as detailed in the campaign assignment.
  2. Videreo acts as payment intermediary: the Brand pays Videreo, and Videreo pays the Creator. Videreo's obligation to pay the Creator is conditional upon receipt of corresponding funds from the Brand. Videreo will use commercially reasonable efforts to collect payment from the Brand and facilitate payment to the Creator. Videreo does not guarantee payment in cases of Brand default. Videreo shall not be liable for non-payment by the Brand.
  3. Payment methods: Payouts are made via Wise. Alternatively, bank transfer may be used; in that case, any transfer fees are charged to the Creator.
  4. Videreo reserves the right to withhold or adjust performance-based payments in cases of suspected fraudulent activity, including artificial inflation of views, engagement manipulation, or violation of platform policies. In case of dispute regarding performance metrics, Videreo's analytics data shall be used as the primary source of truth unless materially inconsistent with platform-reported analytics.
  5. The Creator is solely responsible for any taxes, duties, or reporting obligations arising from payments received under this Agreement. Videreo does not withhold taxes unless required by applicable law.
  6. Nothing in this Agreement obligates Videreo or the Brand to offer the Creator any future campaigns, opportunities, or minimum volume of work.
  7. Partial, late, or non-compliant delivery may result in reduced or forfeited compensation at the reasonable discretion of Videreo and/or the Brand.
  8. Payment (including base payment) is conditional upon submission of content that meets the campaign requirements. Content that is rejected or not brought into compliance may not qualify for payment.

6. Usage Rights

  1. The Creator does not grant the Brand licensing or usage rights. Content is for campaign participation only. The Creator retains all rights to the content.

7. Creator Responsibilities

The Creator represents and warrants that:

  1. They own or have obtained all necessary rights for the content.
  2. The content does not infringe any copyright, trademark, or third-party rights.
  3. All music, footage, and assets are properly licensed.
  4. The content complies with all applicable laws and advertising regulations.
  5. The Creator must clearly and conspicuously disclose the commercial nature of the content in accordance with applicable advertising laws and platform guidelines (including FTC, ASA, and equivalent authorities), including use of tags such as #ad or platform-native disclosure tools.
  6. The Creator agrees that Videreo may track content performance via platform APIs, tracking links, and embedded technologies.
  7. The Creator is solely responsible for the content they produce.

8. Platform Role (Videreo)

  1. Videreo acts solely as a technology platform, marketplace facilitator, and distribution and analytics provider.
  2. Videreo does not create content, is not the publisher of creator content, and is not responsible for the legality of content.
  3. Videreo does not employ Creators and does not supervise or control how content is produced.
  4. The Creator is solely responsible for maintaining access to their social media accounts and for compliance with platform rules. Videreo is not responsible for any reduction in reach, visibility, or account restrictions imposed by third-party platforms.
  5. Videreo is not responsible for any inability to access, publish, maintain, or distribute content on third-party platforms, including due to account restrictions, suspensions, algorithm changes, or technical issues.
  6. Content performance data may be used in aggregated and anonymized form for analytics, benchmarking, and platform improvement purposes.

9. Content Review

  1. Videreo and/or the Brand reserve the right to determine whether content meets the campaign requirements. Content that does not meet reasonable quality or brief expectations may be rejected and may not qualify for payment.
  2. Content may be published without prior approval; however, the Creator remains responsible for compliance with all campaign requirements. Videreo reserves the right to audit, request changes, or remove content post-publication.
  3. The Creator remains fully responsible for all content.
  4. Videreo and/or the Brand may request removal or modification of content at any time if it is deemed non-compliant, misleading, harmful to brand reputation, or in violation of applicable laws or platform policies. The Creator agrees to comply within a reasonable timeframe (typically within 48 hours where feasible).
  5. Videreo reserves the right to request reasonable edits or clarifications post-publication where necessary for compliance or accuracy.

10. Indemnification

  1. The Creator agrees to indemnify, defend, and hold harmless Videreo, the Brand, and their affiliates, employees, and partners from any claims, damages, liabilities, or expenses (including legal fees) arising from:
  2. Content created by the Creator.
  3. Breach of this Agreement.
  4. Violation of any law or third-party rights (including copyright).

11. Limitation of Liability

  1. To the fullest extent permitted by law, Videreo shall not be liable for: any indirect or consequential damages; any legal claims arising from Creator content.
  2. Total liability of Videreo is limited to CHF 100 or the amount paid by the Creator to Videreo (if any), whichever is higher.

12. Termination

  1. This Agreement may be terminated if: the Creator fails to deliver agreed content; the Creator violates these terms; or legal or compliance risks arise.
  2. Videreo reserves the right to suspend or remove content or accounts, and to terminate the Agreement if the Creator engages in conduct that may harm the reputation of Videreo, the Brand, or associated partners.
  3. Videreo and/or the Brand may terminate participation if the Creator engages in conduct that may reasonably harm brand reputation.

13. Assignment

  1. Videreo may assign or transfer this Agreement to an affiliate or successor entity without Creator consent.

14. Governing Law

  1. This Agreement is governed by the laws of Switzerland.
  2. Jurisdiction: Zurich, Switzerland.

15. Participation Risk

  1. All experiences are provided by third-party operators. Videreo does not operate or control these experiences and is not responsible for their safety, quality, or execution.
  2. The Creator acknowledges that participation in campaign activities may involve inherent risks.
  3. The Creator participates voluntarily and assumes all associated risks. Videreo and the Brand are not liable for any injury, loss, damage, delay, or incident arising from participation.

16. Independent Contractor

  1. The Creator acts as an independent contractor and not as an employee, agent, or representative of Videreo or the Brand.
  2. Nothing in this Agreement shall be construed as creating any partnership, joint venture, or exclusive relationship between the parties.

17. Survival

  1. Sections relating to Usage Rights, Indemnification, Limitation of Liability, and any provisions which by their nature should survive termination shall remain in effect after termination or expiration of this Agreement.

18. Acceptance

By accepting this campaign within the Videreo platform, the Creator:

  1. Agrees to this Campaign Agreement.
  2. Agrees to Videreo's Terms of Service.
  3. Enters into a legally binding agreement.
