1. Acceptance of Terms
Welcome to Videreo (“Videreo,” “we,” “us,” or “our”). By accessing or using our platform, apps, APIs, and services (collectively, the “Services”), including logging in via third-party providers such as Instagram, you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Services.
2. What Videreo Does
Videreo is a video-first travel platform that helps creators and businesses host content, enrich it with AI, connect it to places and products, and distribute it to drive engagement and bookings.
- Importing content from social media platforms and direct uploads
- Hosting and playback of travel videos, including interactive maps and shoppable content
- AI-powered content enrichment, tagging, categorization, and analytics
- Creating and managing travel guides with rich media and location data
- Distribution to third parties and partner channels to increase reach
- Monetization tools including affiliate links and creator storefronts
- Campaign management for brands and creator partnerships
- API-based access for integrated partners and developers
3. Eligibility
You must be at least 18 years old and legally able to enter into these Terms to use the Services. If you use the Services on behalf of an entity, you represent that you are authorized to accept these Terms on its behalf.
4. Your Content & License to Videreo
You retain ownership of all videos, images, audio, text, metadata, and other material you upload or import (“User Content”). You must have all rights necessary to submit the User Content and grant the licenses below.
You grant Videreo a non-exclusive, worldwide, royalty-free license (with the right to sublicense to our service providers and distribution partners) to host, store, reproduce, process, adapt, publish, perform, display, distribute, and create derivative works from your User Content solely for:
- Operating and improving the Services (including AI-based enrichment, tagging, categorization, quality enhancement, thumbnails, transcripts, and analytics);
- Displaying and distributing your User Content on Videreo and partner channels as described in Section 6;
- Enabling monetization features (e.g., affiliate and booking links).
This license lasts for the period your User Content is on the Services and, for a reasonable time thereafter, to permit technical cache and backup operations. You can remove content at any time (see Section 12). Nothing in these Terms transfers ownership of your User Content to Videreo.
5. Prohibited Content & Acceptable Use
- Do not upload content that is illegal, infringing, defamatory, fraudulent, hateful, harassing, or obscene, or that violates privacy or publicity rights.
- Do not upload content you do not own or lack rights to (including music, footage, or logos).
- Do not interfere with the Services or others’ use, attempt to reverse engineer, scrape at abusive rates, or bypass access controls.
- Respect third-party platform rules (e.g., Instagram/Meta) where applicable.
We may remove or restrict content or accounts that violate these Terms or applicable law, at our reasonable discretion.
6. Social Media Integration & Content Import
Videreo offers optional social media integration features that allow creators to import content from their social media accounts. When you choose to link a social media account, you represent and warrant that you own or have the necessary rights to that account and its content.
Data Access: We only access publicly available content from your linked social media accounts. We do not store your social media data permanently; content is fetched in real-time and you control what gets imported to Videreo. This feature is disabled by default and must be actively enabled in your account settings.
Third-Party Sharing: Your imported social media content is not shared with third parties without your explicit consent. Any distribution follows the same terms as your other User Content as described in Section 7.
Verification & Responsibility: You are solely responsible for ensuring you have the right to link any social media account and import its content. Impersonating another person or entity, or linking accounts you do not own, is prohibited and may result in immediate account suspension.
By using social media integration features, you agree to comply with the terms of service of the respective social media platforms. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.
7. Distribution to Third Parties & Partner Channels
By default, Videreo may distribute your User Content (and associated links/attribution) to partner channels to increase reach and drive bookings. This may include sharing your video metadata, thumbnails, and attribution (e.g., your display name, website, or product links).
Opt-out: Creators on paid plans may disable third-party distribution in their account settings. If you are not on a paid plan, distribution may remain enabled by default to provide reach and monetization opportunities.
Videreo does not sell your User Content to third parties. Any commercial licensing beyond distribution for promotion/traffic requires your explicit consent or a separate agreement.
8. Monetization, Earnings & Affiliate Links
The Services may include monetization tools (e.g., affiliate links, partner product placements, creator storefronts). Earnings, if any, depend on partner terms, performance, and eligibility. We may display your associated affiliate or booking links with your content to attribute conversions.
Unless otherwise agreed in writing, Videreo is not a party to the end-consumer transaction. Payouts, if applicable, are governed by the partner’s or network’s terms. You are responsible for any taxes or reporting related to your earnings.
9. Subscriptions, No-Download Access & Billing
Certain features may require a paid subscription or fees. Where offered, video courses or on-platform media are provided for streaming access only; downloading is not permitted unless explicitly enabled.
Fees are billed in accordance with the plan you select. We may change prices upon notice. Except where required by law, fees are non-refundable. You can cancel future renewals in your account settings any time before the renewal date.
10. API & Integrations
If you access Videreo via API or integrations, you must follow our technical and usage guidelines. We may rate-limit, suspend, or revoke access that degrades performance, violates security, or breaches these Terms. You may not misrepresent, cache beyond allowed windows, or resell API responses without permission.
11. Intellectual Property & DMCA
Except for User Content, the Services and all materials therein are owned by or licensed to Videreo and are protected by intellectual property laws. Nothing grants you rights except as expressly set forth in these Terms.
If you believe content infringes your rights, contact us with details sufficient to identify the work and allegedly infringing material. We will respond consistent with applicable law and may remove or restrict content at our discretion.
12. Privacy
Our use of personal data is described in the Privacy Policy. By using the Services, you acknowledge our data practices as described there, including the processing of metadata necessary for features such as hosting, enrichment, analytics, and distribution.
13. Account Deletion & Content Removal
You may delete your account at any time in settings. Deleting your account permanently removes your hosted/imported User Content from our active systems, except where we are legally required to retain data or where limited technical backups persist for a reasonable period.
You may remove individual items of User Content at any time. Distribution on partner channels may take time to propagate and be outside our direct control; we will use reasonable efforts to request removals from partners where applicable.
14. Security
We use appropriate technical and organizational measures to protect the Services. However, no method is 100% secure. You are responsible for your account credentials and for promptly notifying us of any suspected compromise or unauthorized use.
15. Changes, Suspension & Termination
We may modify the Services, discontinue features, or update these Terms. Material changes will be announced via the Services or email. Continued use after changes become effective constitutes acceptance.
We may suspend or terminate access for violations of these Terms, risk to users, legal compliance, or technical/security issues. Upon termination, Sections intended to survive (e.g., licenses granted for backups, IP provisions, limitations of liability, indemnities) will continue as applicable.
16. Warranties & Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VIDEREO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee specific results, revenue, distribution reach, or uninterrupted availability.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VIDEREO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VIDEREO IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) CHF 100.
18. Indemnification
You agree to indemnify and hold harmless Videreo and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of the Services, or your breach of these Terms or applicable law.
19. Governing Law & Venue
These Terms are governed by the laws of Switzerland, without regard to conflict of law rules. You agree that the courts located in Zurich, Switzerland shall have exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Services, subject to any mandatory local consumer protections that may apply.
